Private contractual international law has it’s own loopholes. A cross border contract needs to be reviewed for several potential issues. Such issues can range from conflict of law, choice of law, application of CISG, opting out of CISG, mediation & arbitration clause and its construction,  breach of contract and applicable remedies under the choice of law.
